Terms of Service

1. Acceptance of Terms

By creating an account or using any Eave product (ListSmith, ShowingPrep, CompDeck, or heyeave.com), you agree to these Terms of Service. If you do not agree, do not use the service.

These terms apply to all users, including individuals on the Free plan and teams on the Brokerage plan.

2. What Eave Does

Eave provides AI-powered tools for licensed real estate professionals. Our Chrome extensions generate listing descriptions, client briefings, and comparative market analysis (CMA) documents based on MLS data you provide or that is automatically parsed from listing pages you visit.

Eave is a productivity tool. It is not a licensed real estate brokerage and does not provide legal, financial, or investment advice. All AI-generated content must be reviewed by a licensed professional before use.

3. Your Account

• You must be at least 18 years old and legally authorised to enter into this agreement.
• You are responsible for maintaining the confidentiality of your password and for all activity under your account.
• You must provide accurate information when creating your account. Impersonation or false information may result in account termination.
• One account per person. Team seats (Brokerage plan) are individually assigned and non-transferable.

4. Acceptable Use

You agree not to:

• Use Eave to generate content that violates Fair Housing laws, discriminates against protected classes, or makes false or misleading representations about a property.
• Reverse-engineer, scrape, or attempt to extract Eave's underlying prompts, models, or source code.
• Share your account credentials or resell access to Eave under your account.
• Use Eave for any unlawful purpose or in a way that violates your MLS rules of participation.
• Submit false or fabricated property data to manipulate outputs.

Eave includes a Fair Housing compliance scan on all generated listing descriptions. This scan is a helpful tool, not legal advice. You remain solely responsible for ensuring your listings comply with all applicable laws and regulations.

5. Subscription and Billing

• Free plan: 5 AI generations per month per extension, at no cost. No credit card required.
• Pro plan: $55/month or $528/year (billed annually). Unlimited generations across all extensions. Begins with a 14-day free trial — no charge during the trial period.
• Brokerage plan: $35/seat/month, minimum 5 seats. Billed monthly based on declared seat count.

Subscriptions are billed through Stripe. You may cancel at any time from your account settings. Cancellations take effect at the end of the current billing period — you retain access until then. We do not offer prorated refunds for partial months.

Prices may change with 30 days' notice. Your rate is locked for the current billing cycle when notice is given.

6. Free Trial

Pro plan subscriptions begin with a 14-day free trial. Your payment method will not be charged until the trial ends. You may cancel at any time before the trial ends without being charged. One free trial per person.

7. AI-Generated Content

Content generated by Eave is produced by large language models (including Anthropic's Claude). You acknowledge that:

• AI outputs may contain errors, inaccuracies, or hallucinated details not present in the source listing.
• You must review and verify all generated content before publishing, submitting to an MLS, or sharing with clients.
• Eave is not liable for errors in AI outputs or for consequences arising from your use of generated content without review.
• By submitting listing data to Eave, you represent that you have the right to do so under your MLS agreement.

8. Data and Privacy

We collect the data needed to provide the service — account information, property data you submit, and usage metrics. We do not sell your personal data to third parties.

Property data submitted for generation is used solely to produce your requested output. We may use aggregated, anonymised usage data to improve the service.

9. Intellectual Property

You own the content you generate using Eave. We retain ownership of the Eave platform, software, brand, and underlying technology.

By using Eave, you grant us a limited, non-exclusive licence to process your submitted data for the purpose of delivering the service.

10. Termination

We may suspend or terminate accounts that violate these terms, engage in fraud, or misuse the service. You may delete your account at any time by contacting us at hello@heyeave.com.

Upon termination, your data will be deleted within 30 days, except where we are required by law to retain it.

11. Disclaimers and Limitation of Liability

Eave is provided "as is" without warranties of any kind. We do not guarantee that the service will be uninterrupted, error-free, or that AI outputs will be accurate or compliant with any specific legal requirement.

To the fullest extent permitted by law, Eave's liability to you for any claim arising from use of the service is limited to the amount you paid us in the 12 months preceding the claim.

12. Governing Law

These terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes will be resolved through binding arbitration in accordance with the AAA Commercial Arbitration Rules.

13. Changes to These Terms

We may update these terms from time to time. We will notify you of material changes by email or in-app notice with at least 14 days' notice. Continued use of Eave after changes take effect constitutes acceptance.
